The terms and conditions that govern your use of the Downtown Sudbury BIA website and digital services.

These Terms of Service (“Terms”) govern your access to and use of the websites, digital tools, and services operated by the Downtown Sudbury Business Improvement Area (“the BIA,” “we,” “us,” or “our”), including downtownsudbury.com and any sub-domain applications linked from it. By accessing or using our services, you agree to these Terms.
1. Who We Are
The Downtown Sudbury BIA is a non-profit organization established under the Municipal Act (Ontario) to promote, develop, and maintain the downtown Sudbury business district. We operate these digital services to serve our member businesses, residents, and the broader community.
2. Acceptable Use
You may use our website and services for lawful purposes only. You agree not to:
- Use our services in any way that violates applicable federal, provincial, or local laws or regulations.
- Transmit unsolicited commercial communications (“spam”) or use our services to harvest email addresses or contact information.
- Attempt to gain unauthorized access to any part of our services, servers, or systems connected to our services.
- Submit false, misleading, or fraudulent information through any form or tool on our services, including event submissions or contact forms.
- Interfere with or disrupt the integrity or performance of our services or the data they contain.
3. Event and Content Submissions
Our website allows community members to submit events for consideration. By submitting content, you confirm that:
- The information is accurate and relates to a genuine event taking place in or near Downtown Sudbury.
- You have the right to submit the information and any images included.
- You grant the BIA a non-exclusive, royalty-free licence to display the submitted content on our website and associated digital channels to promote the event.
All submissions are reviewed by BIA staff before publication. We reserve the right to decline, edit, or remove any submission at our discretion, including submissions that do not meet our community standards or are unrelated to the downtown Sudbury area.
4. Intellectual Property
The content on our website — including text, logos, photographs, graphics, and the overall design — is owned by or licensed to the Downtown Sudbury BIA. The “Cue the Good Stuff” brand and associated marks are proprietary to the BIA.
You may share links to our pages and quote brief excerpts for non-commercial purposes with attribution. You may not reproduce, distribute, or create derivative works from our content without our written permission.
5. Third-Party Links
Our website may link to the websites of member businesses, partners, and the City of Greater Sudbury. These links are provided for convenience; we do not control those sites and are not responsible for their content, privacy practices, or availability.
6. Disclaimer of Warranties
Our services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the services will be uninterrupted, error-free, or free of viruses or other harmful components. Business listings, hours, and event details are provided by member businesses and are not independently verified; always confirm directly with the business.
7. Limitation of Liability
To the fullest extent permitted by applicable law, the Downtown Sudbury BIA, its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — our services or content.
8. Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
9. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of Ontario.
10. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date below. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
